Marin Software Incorporated (MRIN), a digital marketing software provider, has been notified by Nasdaq regarding its non-compliance due to a delay in filing its annual report on Form 10-K for the fiscal year ending December 31, 2024. This delay results in a violation of Nasdaq Listing Rule 5250(c)(1), which mandates timely filing of all periodic reports with the SEC.

The company has a deadline until June 16, 2025, to present a plan to Nasdaq demonstrating how it intends to regain compliance. Should Nasdaq accept the plan, Marin Software could secure an additional extension of up to 180 days beyond the original Form 10-K due date, moving it to September 29, 2025.

Furthermore, Marin Software's board has approved a voluntary liquidation and dissolution plan, pending stockholder approval. If this dissolution is approved, it will lead to the delisting of the company's common stock from Nasdaq.
