(RDZN, Financial) has initiated legal action in Florida against Meteora Capital Partners and its associated entities, claiming deliberate contract breach that has adversely affected Roadzen's value in the stock market. The lawsuit is being handled by the courts in Palm Beach County, Florida.

At the heart of the dispute is a Forward Purchase Agreement signed in August 2023, which allowed Meteora to acquire 5 million shares of Roadzen at an effectively zero-cost basis. In return, they were obligated to pay proceeds from the sale of these shares back to Roadzen, following specific contractual provisions.

Roadzen alleges that despite pre-established protections, Meteora sold over 1.8 million of these shares without fulfilling their payment obligations or notifying Roadzen as required by the agreement. The complaint further states that Meteora misrepresented their ownership of shares as a strategy to evade payment obligations. Roadzen also contends that Meteora's assertion of owing $914,726.53 is inaccurate and significantly underestimates the financial impact of Meteora's actions.
