Vivos Therapeutics, Inc. (NASDAQ: VVOS), a leader in non-invasive treatments for obstructive sleep apnea (OSA), has announced a definitive agreement to acquire The Sleep Center of Nevada (SCN), the largest operator of medical sleep centers in Nevada. The acquisition value is up to $9 million, structured as $6 million in cash, $1.5 million in Vivos common stock at closing, and an additional $1.5 million in stock contingent on performance milestones.

Founded in 2008, SCN operates seven locations with nearly 50 beds for overnight sleep testing and serves approximately 3,000 new patients each month. Notably, 90% of these patients test positive for OSA or related disorders, and 95% are typically referred for traditional treatments like CPAP or surgery. This presents a significant opportunity for Vivos to introduce its FDA-cleared oral appliance treatments as alternatives.

The acquisition aligns with Vivos' strategy to expand its marketing and distribution model, following its June 2024 strategic alliance with Rebis Health. By leveraging SCN’s infrastructure, Vivos aims to enhance case acceptance and diversify its services, strengthening its market presence in the fast-growing Las Vegas region.

Expected to close in Q2 or Q3 2025, the acquisition will enable Vivos to tap into SCN’s existing patient base, thereby potentially reducing cash burn and moving towards cash flow positivity. The transaction will not require shareholder approval but remains subject to customary conditions, including financing and audit requirements.
