Criteo S.A. (CRTO) has announced significant changes to its Board of Directors. Frederik van der Kooi, previously a Corporate Vice President at Microsoft, has been named Chairperson of the Board. Van der Kooi has been on Criteo's Board since June 2023 and has a strong background in digital advertising, having led Microsoft's advertising business to $10 billion in revenue.

The company also announced the nomination of Stefanie Jay as a new independent director, with her election set to take place during Criteo's 2025 Annual General Meeting of Shareholders. Jay brings nearly 20 years of expertise in omnichannel retail and eCommerce, having achieved notable successes at Walmart and eBay, including a 7X revenue growth at Walmart Media Group.

With these changes, Criteo's Board will consist of eight directors, out of which seven are independent, reflecting the company's commitment to board independence. The Board has seen four new directors added in the past five years. In addition, long-serving member Hubert de Pesquidoux, who has chaired the Audit Committee since 2012, will not seek re-election.

Michael Komasinski, CEO of Criteo, praised the new appointments, expressing confidence in the added expertise of both van der Kooi and Jay to drive the company's strategic vision forward and enhance its position in the commerce media sector.
