CSX Corporation (CSX, Financial) has announced the appointment of Ann Begeman to its Board of Directors, effective immediately as of January 27, 2025. Ms. Begeman brings a wealth of experience from her decade-long tenure at the Surface Transportation Board (STB), where she held key leadership roles, including Chairman and Acting Chairman from 2017 to 2021. Her extensive background also includes significant positions in the U.S. Senate, where she served from 1992 to 2011, notably as the Republican Staff Director for the U.S. Senate Committee on Commerce, Science, and Transportation.
Since 2022, Ms. Begeman has been providing consulting services on railroad regulatory and government affairs matters, leveraging her over thirty years of public service experience in both legislative and executive branches of government. Her appointment expands the CSX Board from twelve to thirteen members.
It is noteworthy that Ms. Begeman has previously advised CSX Corporation on regulatory and government affairs matters, for which she received $275,000 in fiscal year 2024. Consequently, the Board has determined that she does not meet the independence criteria under NASDAQ's director independence standards. Ms. Begeman will serve on the Finance Committee as a non-employee director and will receive compensation consistent with that provided to all non-employee directors, as outlined in the company's Proxy Statement dated March 25, 2024.
