Autodesk, Inc. (ADSK, Financial) has announced significant changes to its Board of Directors, effective December 18, 2024. The company has expanded its Board by two members, appointing John T. Cahill and Ram Krishnan to fill the newly created vacancies. This strategic move increases the total number of Board members to thirteen, reflecting Autodesk's commitment to strengthening its leadership team as it navigates future growth opportunities.
Both Mr. Cahill and Mr. Krishnan will serve as non-employee directors and will be compensated according to Autodesk's Director Compensation Policy, including a Restricted Stock Unit award agreement for directors. At this time, neither has been appointed to any Board committees. Importantly, there are no arrangements or understandings with other parties that influenced their appointments, and neither has any familial ties to existing directors or executive officers at Autodesk.
In addition to these appointments, Autodesk has announced that Lorrie Norrington will not stand for re-election at the company's 2025 Annual Meeting of Stockholders. This decision marks a transition in the Board's composition as Autodesk continues to evolve its governance structure.
Furthermore, Elizabeth Rafael will transition to an advisory role within the company. Her employment agreement has been amended to reflect her new position as an Advisor through April 30, 2025. In this capacity, she will report to the Chief Executive Officer and assist with transitional tasks related to the onboarding of Autodesk's new Chief Financial Officer, while continuing to serve as a Board member.
These leadership changes underscore Autodesk's proactive approach to governance and strategic planning, positioning the company for sustained success in the competitive technology landscape.
