Humana Inc. (HUM, Financial) has announced a significant leadership transition within its financial department. Susan M. Diamond, the current Chief Financial Officer, will be stepping down from her role on January 10, 2025, to pursue personal and professional goals. Following her departure, Ms. Diamond will continue to serve Humana in an advisory capacity until December 31, 2025, ensuring a smooth transition and continuity in strategic advisory services.

In her advisory role, Ms. Diamond will maintain her current base salary and benefits until the end of 2025. Post this period, she will transition to a variable staffing pool status until March 1, 2027, where she will be compensated on an hourly basis for her contributions, including board service and strategic consulting.

Celeste Mellet has been appointed as the new Chief Financial Officer, effective January 11, 2025. Ms. Mellet brings a wealth of experience to Humana, with a compensation package that includes a base salary of $975,000 and eligibility for a 125% level participation in the company's short-term incentive plan. Additionally, she will receive an initial equity award valued at approximately $6 million and a total annual equity grant of $4 million as part of the 2025 long-term incentive compensation program.

Humana has also reaffirmed its earnings guidance for the fiscal year ending December 31, 2024. The company expects diluted earnings per common share (EPS) of at least $12.89 and adjusted earnings per common share (Adjusted EPS) of at least $16.00. This guidance aligns with the company's previous projections and reflects Humana's commitment to maintaining strong financial performance.

The company emphasizes that Adjusted EPS, a non-GAAP financial measure, provides a more comprehensive perspective on its core operating performance over time, aiding in planning, decision-making, and incentive compensation determination.

Humana's senior management team is scheduled to meet with investors and analysts throughout December to discuss these developments and reaffirm the company's financial outlook.
