Sally Beauty Holdings, Inc., was founded in 1964 and was acquired in 1969 by its former parent Company, Alberto-Culver. The Company is a specialty retailer and distributor of professional beauty supplies with operations principally in North America, South America and Europe. The Company provides its customers a variety of third-party professional beauty supplies, including hair color products, hair care products, styling appliances, skin and nail care products and other beauty items. It operates mainly two business units, Sally Beauty Supply and Beauty Systems Group, or BSG. The Company, through Sally Beauty Supply and BSG, operated a multi-channel platform of 4,487 company-operated stores and supplied 182 franchised stores. Within BSG, it also has one of the networks of professional distributor sales consultants in North America, with approximately 982 professional distributor sales consultants who sell directly to salons and salon professionals. Sally Beauty Supply stores target retail consumers and salon professionals, while BSG exclusively targets salons and salon professionals. It has stores locations in the United States (including Puerto Rico), Canada, Mexico, Chile, the United Kingdom, Ireland, Belgium, France, Germany, the Netherlands and Spain. The Company is subject to a number of federal, state and local laws and regulations in the U.S., as well as applicable laws and regulations in each foreign marketplace in which it does business.
