American Water Works Co Inc a Delaware Corporation, was founded in 1886 as the American Water Works & Guarantee Company, for the purposes of building and purchasing water systems in McKeesport, Pennsylvania. In 1935, the Company was reorganized under its current name. The Company's business involves the ownership of subsidiaries that provide water and wastewater utility services to residential, commercial, industrial and other customers, including sale for resale and public authority customers. The Company has two operating segments; the Regulated Businesses and the Market-Based Operations. The Regulated Businesses segment includes the Company's 18 utility subsidiaries in continuing operations that provide water and wastewater services to customers in 16 U.S. states. The Market-Based Operations segment is comprised of market-based businesses that provide a broad range of water and wastewater services and products including homeowner water and sewer line maintenance services, water and wastewater facility operations and maintenance services and products for cleansing water and wastewater and wastewater residuals management services. Its Market-Based Operations include three lines of business: Contract Operations Group, which enters into contracts to operate and maintain water and wastewater facilities mainly for the United States military, municipalities, and the food and beverage industry; Homeowner Services Group, which provides services to domestic homeowners and smaller commercial establishments to protect against the cost of repairing broken or leaking water pipes and clogged or blocked sewer pipes inside and outside their accommodations; and Terratec Environmental Ltd., which it refer to as Terratec, which mainly provides biosolids management, transport and disposal services to municipal and industrial customers. The Company's investor-owned competitors, when pursuing acquisitions, based on a comparison of operating revenues and population served, are Aqua America Inc., United Water, American States Water Co. and California Water Services Group. The Company's water and wastewater operations are subject to extensive United States federal, state and local laws and regulations, and in the case of its Canadian operations, Canadian laws and regulations that govern the protection of the environment, health and safety, the quality of the water it deliver to customers, water allocation rights, and the manner in which it collect, treat, discharge and dispose of wastewater.
