Ladies and gentlemen, I'm pleased to welcome you to the Annual Meeting of Stockholders of JAKKS Pacific, Inc. This annual meeting is being held virtually and will be conducted completely online via the Internet, but there's no physical location for this annual meeting. Instructions on how to connect and participate via the Internet, including how to demonstrate proof of stock ownership are posted at www.virtualshareholdermeeting.com/JAKKS2023.

I'm Stephen Berman, Chief Executive Officer, President, and Secretary, and member of the Board of Directors of the company, and I will act as Chairman of the meeting. First, I will outline the format for today's meeting. Nominations of directors will be made, then a motion to adopt the resolution regarding amending our stock plan will be made, then a motion to adopt a resolution regarding the appointment of our auditors will be made, and then two additional motions to adopt the advisory
