On July 12, 2021, 1st Constitution announced that it had entered into an agreement to merge with Lakeland in a transaction that values the former at approximately $244.40 million. Pursuant to the merger agreement, 1st Constitution stockholders will receive 1.3577 shares of Lakeland common stock for each share of 1st Constitution common stock owned. The deal is scheduled to close in the fourth quarter of 2021.

Bragar Eagel & Squire is concerned that 1st Constitution’s board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement.
